for cooperation with companies

1. Scope
These General Terms and Conditions (GTC) apply to all contracts between
EYZE – Rethinking Psychology, certified psychologist Janna Raphaela Odesser
(hereinafter referred to as ‘EYZE’)
and entrepreneurs, legal entities under public law or hotels (hereinafter referred to as ‘clients’) for psychological, body-oriented and preventive services in a business or hotel-based context.
Any deviating or supplementary terms and conditions of the Client shall only become part of the contract if EYZE has expressly agreed to their validity in writing.
2. Subject matter of the contract
EYZE offers psychological counselling, body-oriented coaching and training formats, and psychophysiological prevention programmes for companies and hotels.
These include in particular:
- Employee Assistance Programmes (EAP) at various service levels,
- Workshops, seminars and supervision on mental health and resilience promotion,
- Executive coaching, team support and psychological counselling days,
- Online formats and digital training programmes,
- Hotel collaborations in the field of mental wellness, retreats and psychophysiological prevention
- The exact scope of services is determined by the respective offer, contract or project concept.
3. Conclusion of contract
A contract is concluded upon written acceptance of an offer or upon written order confirmation by email. Offers made by EYZE are subject to change and non-binding unless they are expressly marked as binding. Changes to services or additional agreements must be made in writing.
4. Performance of services
EYZE provides the agreed services in accordance with recognised professional standards of psychological and physical therapy work. A specific outcome is not guaranteed. EYZE is entitled to use suitable vicarious agents or cooperation partners to provide the services. Online formats are offered via data protection-compliant platforms (e.g. Zoom, MS Teams).
5. Remuneration and terms of payment (freelance work)
Remuneration is based on the fee agreed in the offer or contract. Unless otherwise stated, fees are net amounts. EYZE – Rethinking Psychology operates as a freelance certified psychologist in accordance with Section 18 of the British Income Tax Act (EStG). Value added tax will be charged additionally, if applicable under current law. If there is no value added tax liability, the service will be invoiced VAT-free in accordance with the regulations for freelance work.
Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date. Travel expenses (travel, accommodation, meal allowances) will be charged additionally at actual cost, unless otherwise agreed.
6. Cancellation and withdrawal
Cancellation is free of charge up to 14 days before the agreed date.
The following rules apply to later cancellations:
- up to 7 days in advance: 50% of the fee will be charged,
- less than 7 days in advance or no-show: 100% of the fee will be charged.
The client is entitled to name a replacement participant or agree on a replacement date, provided EYZE agrees. EYZE reserves the right to postpone or cancel appointments for important reasons (e.g. illness, force majeure). In this case, fees already paid will be refunded in full.
7. Confidentiality and data protection
EYZE undertakes to treat all internal matters of the client that become known in the course of the cooperation, as well as the personal data of the participants, as strictly confidential. Personal data is processed in accordance with the applicable data protection regulations (GDPR). A separate privacy policy is available on the website.
8. Liability
EYZE shall only be liable for damages resulting from intent or gross negligence. In cases of simple negligence, EYZE shall only be liable for breaches of essential contractual obligations (cardinal obligations), limited to foreseeable, typically occurring damages. No guarantee of success is given for the psychological or physical therapy measures offered. Responsibility for implementing the content lies with the client or the participants.
9. Copyright and rights of use
All documents, presentations, workbooks or other materials provided by EYZE within the scope of the cooperation are protected by copyright. They may only be used for the agreed purpose and may not be reproduced, published or passed on to third parties without prior written consent.
10. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction and performance is Munich, as far as legally permissible. Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose.
